If we consider the role of company law, this may be a constraining factor, but it is also one that can be  turned to a companys advantage, as the constraints that it places on business may be seen as positive for the shareholders and other stakeholders external to the company as well  as internally. These may be seen as limiting by some, and if we consider company law and an issue such as the duties of the directors, it may also  appear that there is little protection given the shareholders. However directors are the agents of the shareholders, and by proxy run the company for them. Although in many instances the  reality will be the fact that shareholders may be seen as institutional investors, and in a position to exert influence. Therefore when directors are appointed, in seeing them as value  assets to the company, and a part of the resource base we may argue that this is a positive influence. First we will consider the law concerning the responsibilities of  directors. Then we can see how this may be applied with the idea of corporate strategy in mind. One of the well  known cases that outlines the duties and responsibilities of directors is that of Re Brazilian Rubber Plantation and Estates Ltd [1911] 1 Ch 425 at 437. This can be seen  as one of the key cases that outlines the legal duties of a director in terms if the duty of care in common law. This along with City Equitable Fire  Insurance Co. Ltd [1925] Ch 407 and Francis v. United Jersey Bank can be seen as the three main cases. In the case of Re Brazilian Rubber Plantation and
